Terms of Service

1. Introduction
These Terms of Service (“Terms”) are a legal agreement between you (“you”, “your”, or “User”) and Bothub Global AB (company no. 559431-4493), registered office: Kungsgatan 32, 111 35 Stockholm, Sweden (“Bothub”, “we”, “us”, or “our”).
Bothub provides a technical automation platform that allows Users to connect their own exchange accounts via API keys and automate trading actions using pre-configured strategies and tools (the “Services”). Bothub does not hold, manage, or custody funds. All assets remain under your full control on your connected exchange(s).
By accessing or using the Services, you agree to these Terms and our Privacy Policy, Cookie Policy, and Disclaimer (together, the “Agreement”). If you do not agree, do not use the Services.
No financial advice. Bothub is not a financial intermediary, broker, custodian, or investment advisor. The Services do not constitute financial, investment, or trading advice, and no profit is guaranteed.
2. Acceptance of Terms
- By registering an account, accessing, or using the Services, you confirm you can enter into a binding contract and accept these Terms.
- We may update these Terms from time to time. The latest version will be posted on our Website with the “Last Updated” date. Your continued use after changes take effect constitutes acceptance.
- If you accept on behalf of a company or other legal entity, you represent that you have authority to bind that entity.
3. Description of Services
- Automation only. Our system interacts with supported third-party exchanges via API keys you supply and can place/modify/cancel buy/sell orders according to strategies and parameters you choose.
- API key security. We require only permissions necessary for trading functions and never request withdrawal rights. API keys are encrypted and stored using industry-standard security practices.
- Supported exchanges may include Binance, Kraken, Bybit, Hyperliquid, and others (availability may vary). You are responsible for complying with each exchange’s terms and eligibility rules.
- Execution venue. Bothub does not execute transactions on its own behalf. All trades are executed directly on your connected exchange account.
- Subscription access. Access is provided on a subscription basis. Plan features, pricing, and renewal conditions are described on our Website.
4. Eligibility
- Minimum age. You must be at least 18 (or the age of majority in your jurisdiction, if higher).
- Compliance. You are solely responsible for ensuring your use of the Services complies with all applicable laws and exchange rules.
- Sanctions & restricted regions. You may not use the Services if you are located in, organized in, or ordinarily resident in any jurisdiction subject to comprehensive sanctions/embargoes, or if you are a restricted party under EU/UN/US or other applicable sanctions.
- We may refuse, suspend, or terminate access where we reasonably believe you are ineligible or your use violates law or these Terms.
5. Accounts and Security
- Account creation. Provide accurate, complete, and current information and keep it updated.
- Security. You are responsible for safeguarding credentials and for all activity under your account.
- 2FA. We may provide or require two-factor authentication; you agree to enable it when instructed.
- Notice of compromise. Notify [email protected] immediately if you suspect unauthorized access. We may suspend access while investigating.
- Our actions. We may suspend or terminate accounts for suspected unauthorized use, policy breaches, or illegal activity.
6. Subscription and Payment
- Model. Services are provided by subscription. Fees, plans, and features are shown on our Website and may change prospectively.
- Auto-renewal. Subscriptions renew automatically at the end of each billing cycle unless you cancel before renewal. You authorize Bothub or its processors (e.g., Stripe) to charge your payment method for recurring fees.
- Cancellation. You may cancel at any time; cancellation takes effect at the end of the current billing period. No refunds for partial/unused periods unless required by applicable law.
- Taxes. Fees are exclusive of taxes, levies, or duties, which you must pay where applicable.
- Payments. Payments are processed by third-party providers that comply with industry security standards. Bothub does not store full payment details.
7. Acceptable Use
You agree not to, and not to permit others to:
- Use the Services for unlawful purposes (including fraud, market abuse/manipulation, money laundering, terrorist financing, or sanctions evasion).
- Access accounts, systems, or data without authorization.
- Circumvent or attempt to bypass technical or security controls.
- Reverse-engineer, decompile, or attempt to derive source code (except where permitted by law).
- Interfere with or degrade the performance or security of the Services or any connected exchange.
- Rent, lease, sublicense, sell, or transfer your account or access rights.
Enforcement. We may investigate violations, suspend or terminate accounts, and report unlawful activity to competent authorities.
8. Risks and Disclaimers
- Market risk. Trading (including crypto) involves substantial risk, including potential loss of all invested capital. Automated trading may increase trading frequency and can amplify losses.
- No advice. Content and tools are for technical/educational purposes only, not investment advice or recommendations.
- No guarantees. We do not guarantee profits, outcomes, uptime, latency, or order execution success. Backtests/simulations do not predict future results.
- “As is.” To the maximum extent permitted by law, the Services are provided “as is” and “as available” without warranties (express, implied, or statutory).
9. Intellectual Property
- Ownership. Bothub and its licensors retain all rights, title, and interest in and to the Services, software, algorithms, UI, designs, trademarks, and content.
- License. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for your personal or internal business purposes during your subscription.
- Restrictions. You may not copy, modify, adapt, create derivative works, publicly display, or commercially exploit the Services except as expressly permitted.
- Feedback. You grant Bothub a worldwide, perpetual, irrevocable, royalty-free license to use and incorporate feedback or suggestions without obligation.
10. Limitation of Liability
To the fullest extent permitted by law, Bothub is not liable for:
- Indirect, incidental, special, consequential, or punitive damages.
- Loss of profits, revenue, goodwill, data, or business interruption.
- Failures of third-party services (exchanges, APIs, payment processors).
- Outages, bugs, latency, connectivity issues, or failed/delayed execution.
- Events beyond our reasonable control (cyberattacks, DDoS, power outages, acts of government, natural disasters, regulatory changes, or market disruptions).
Liability cap. Our aggregate liability for all claims in any 12-month period will not exceed the fees you paid to Bothub in the three (3) months preceding the event giving rise to liability.
11. Termination
- By you. You may terminate your account at any time via the Website or by contacting support. Termination takes effect immediately; fees already paid are non-refundable unless required by law.
- By us. We may suspend or terminate your access if we reasonably believe you violated the Agreement, engaged in illegal or harmful activity, or posed a security/operational risk.
- Effect. Upon termination, your right to use the Services ends. Sections that by nature should survive (e.g., IP, Disclaimers, Limitation of Liability, Governing Law, Dispute Resolution) will survive.
- Data. Account data will be handled or deleted per our Privacy Policy. We may retain certain records as required by law (e.g., for tax, compliance, or dispute purposes).
12. Compliance and Legal Obligations
- Regulatory status. Bothub is not licensed or supervised by the Swedish Financial Supervisory Authority (Finansinspektionen) or any financial regulator. The Services are technical automation tools and are not subject to MiFID II, PSD2, or similar financial regulations.
- Your responsibility. You are solely responsible for taxes, local reporting, and compliance with financial/trading laws applicable to you. We do not provide tax, legal, or accounting advice.
- KYC/AML. We may implement KYC/AML or similar checks if required by law or partners. Failure to complete such checks may result in suspension or termination.
- Cooperation. We may disclose information to competent authorities when required by law, consistent with our Privacy Policy and applicable data-request procedures.
- Export controls. You represent that your use complies with applicable export control and anti-boycott laws.
13. Changes to the Services
We may add, modify, or discontinue features or functions (including beta features) without liability, provided such changes do not materially reduce core functionality of your current paid plan during the current billing period.
14. Governing Law and Dispute Resolution
- These Terms are governed by the laws of Sweden (without regard to conflict-of-laws rules).
- The courts of Sweden have exclusive jurisdiction, with the Stockholm District Court as the court of first instance.
- Before filing a claim, the parties will attempt to resolve disputes in good faith for at least 30 calendar days.

16. Miscellaneous
- Entire Agreement. These Terms, together with incorporated policies, form the entire agreement between you and Bothub regarding the Services.
- Severability. If a provision is invalid, the remainder remains in effect.
- No waiver. Failure to enforce any provision is not a waiver.
- Assignment. You may not assign or transfer rights or obligations without our prior written consent. We may assign to an affiliate or in connection with a merger, acquisition, or sale of assets.
- Headings. Headings are for convenience only and do not affect interpretation.
- Language. These Terms are provided in English. If translated, the English version prevails.

This Annex applies only if you are a consumer residing in the EU or EAA.
1. Right of Withdrawal
You may withdraw from a distance contract within 14 days without giving any reason. The withdrawal period will expire 14 days after the date of purchase.

2. Exception for Digital Services
By purchasing a subscription to our digital services, you expressly consent to immediate delivery of the service and acknowledge that you lose your statutory right of withdrawal once delivery has begun.
3. Alternative Dispute Resolution
If you have a complaint that cannot be resolved directly with us, you may use the EU’s Online Dispute Resolution (ODR) platform: https://ec.europa.eu/consumers/odr
We are not obliged to participate in any specific ADR procedure, but EU law requires us to provide this information.
